Terms governing all business relationships between SearchTurbo Ltd. and its contractual partners.
1. Scope
These Terms and Conditions ("Terms") apply to all business relationships between SearchTurbo Ltd., 124 City Road, London, EC1V 2NX, United Kingdom ("Search Turbo" or "Provider") and the contractual partner ("Partner"), unless expressly agreed otherwise.
2. Subject matter
Search Turbo operates a platform for search query monetization. The platform connects publishers who provide search inventory with advertisers who bid on search queries. The specific services are defined in the respective individual agreement (Insertion Order, Publisher Agreement, or other contractual annex).
3. Formation of contract
A contract is formed upon mutual execution of an individual agreement or upon written confirmation by Search Turbo following receipt of an enquiry via the website. Mere use of the website does not constitute a contract.
4. Provider services
(1) Search Turbo provides the technical infrastructure to route search queries to demand partners and deliver results to the publisher.
(2) Platform availability is at least 99.5% on an annual average, excluding scheduled maintenance windows.
(3) Search Turbo does not guarantee any specific revenue or earnings. Compensation depends on the quality and volume of the inventory provided by the partner.
5. Partner obligations
(1) The partner agrees to generate only legitimate traffic. Any form of click fraud, bot traffic, or artificially generated inventory is prohibited.
(2) The partner shall ensure that the integration of Search Turbo products complies with applicable data protection regulations and that required user consents are obtained.
(3) The partner may not reverse-engineer, decompile, or disclose the provided technology to third parties.
6. Compensation and billing
(1) Compensation is based on the terms set out in the individual agreement (CPC, CPM, or revenue share).
(2) The billing period is the calendar month. Invoices are issued within 15 business days after month-end.
(3) Payment is made within 30 days of invoicing, provided the minimum threshold of GBP 100 / EUR 100 has been reached.
7. Data protection
(1) Search Turbo processes personal data exclusively in accordance with the UK GDPR and the Data Protection Act 2018.
(2) Details of data processing are governed by the separate Privacy Policy and, where applicable, a Data Processing Agreement (DPA) between the parties.
(3) Search Turbo implements the IAB Europe TCF 2.3 framework and supports publishers with consent-compliant integration.
8. Liability
(1) Search Turbo shall be liable without limitation for intentional misconduct and gross negligence.
(2) For slight negligence, Search Turbo shall only be liable in the event of a breach of material contractual obligations, limited to foreseeable, contract-typical damages.
(3) Liability for lost profits is excluded in cases of slight negligence.
9. Term and termination
(1) Unless otherwise agreed, the contract is concluded for an indefinite period and may be terminated by either party with 30 days' written notice to the end of a calendar month.
(2) The right to extraordinary termination for cause remains unaffected. Cause exists in particular in the event of a breach of Section 5 of these Terms.
10. Confidentiality
Both parties agree to keep confidential information of the other party confidential, including but not limited to technical details, compensation terms, and business strategies, and to use such information solely for the purposes of the collaboration.
11. General provisions
(1) These Terms are governed by the laws of England and Wales.
(2) The exclusive jurisdiction for all disputes arising from this contractual relationship is London, provided the partner is a merchant, a legal entity under public law, or a special fund under public law.
(3) If any provision of these Terms is found to be invalid, the validity of the remaining provisions shall remain unaffected.
